General Service & Subscription Terms

These Terms (the “Agreement”) govern all services provided by Common Rise Creative Solutions LLC (“Contractor”) to the account holder (“Client”) through their Common Rise account. By maintaining an active account or using Contractor’s services, the Client agrees to these Terms.


1. Services Provided

1.1 The Contractor provides creative, consulting, and related services through subscription tiers and/or project-based engagements requested through a Common Rise account.
1.2 Subscription accounts include a defined number of service hours per month based on the Client’s selected tier.
1.3 A Collaborator account may be established at no charge, but individual projects requested under this account will be separately quoted and billed.
1.4 Services may also include other tasks as agreed upon through the Client’s Common Rise account.


2. Term of Agreement

2.1 The Agreement begins upon account registration and remains in effect so long as the Client maintains an active Common Rise account.
2.2 Subscription services are billed on a monthly basis unless otherwise specified.


3. Performance

The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect.


4. Currency

All monetary amounts referred to in this Agreement are in United States Dollars (USD).


5. Compensation

5.1 The Client will be billed in accordance with the subscription tier or approved project quote associated with their Common Rise account.
5.2 Each subscription tier includes a defined number of service hours per monthly term.
5.3 Overage Hours: Any services provided beyond the included subscription hours will be billed at $80.00 USD per hour.
5.4 Overage Hours will be invoiced at the conclusion of each monthly term.
5.5 RUSH Services: Services requiring completion within five (5) business days may be billed at a rush rate of $130.00 USD per hour.
5.6 The Compensation does not include sales tax or other duties required by law. Applicable taxes and duties will be added to the invoice.


6. Invoicing & Payment

6.1 Invoices are issued monthly for subscription accounts, upon project completion for project-based accounts, and for any overage hours incurred.
6.2 Payment is due within NET 30 days of invoice date.
6.3 Late payments will incur an additional 1% per day late fee calculated on the outstanding balance until payment is received.
6.4 Accounts more than 30 days past due may be suspended until payment is received in full.


7. Contractor Donation on Behalf of Client

7.1 Upon completion of projects under a Collaborator account, the Contractor agrees to provide a donation of ten percent (10%) of the project primary total (excluding taxes, fees, or other applicable duties) to a qualified 501(c)(3) or 501(c)(4) charitable organization of the Client’s choosing, subject to the following conditions:

  • The charitable organization must be a documented and certified 501(c)(3) or 501(c)(4) in good standing.

  • The Contractor retains the right to refuse the Client’s selection for any reason, in which case the Client may designate another qualifying organization.

  • If the Client is a qualifying 501(c)(3) or 501(c)(4), they may instead elect a 10% discount off the project total.

7.2 For subscription accounts, the Contractor will calculate and provide a donation equal to ten percent (10%) of the subscription service totals every six (6) months, provided that the Client has maintained the subscription account without interruption for the entire six-month period.

7.3 Donations will be made in the Contractor’s name on behalf of the Client and are classified as donations of the Contractor for tax purposes. The Client may not claim these donations for tax purposes.


8. Confidentiality

The Contractor will maintain the confidentiality of any non-public information shared through the Client’s Common Rise account, except as required by law.


9. Intellectual Property

9.1 All intellectual property created under this Agreement is a “work made for hire” and will be the sole property of the Client.
9.2 The Contractor may retain copies for backup and portfolio purposes only.


10. Independent Contractor

The Contractor provides services as an independent contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, or joint venture.


11. Notices

All notices or official communications will be sent through the Client’s Common Rise account email or otherwise as reasonably determined by the Contractor.


12. Indemnification

Each Party agrees to indemnify and hold the other harmless from claims, damages, or liabilities arising out of that Party’s actions under this Agreement.


13. Modification of Terms

These Terms may be modified, updated, or replaced by the Contractor at any time without prior notification or consent of the Client. Continued use of the Client’s Common Rise account constitutes acceptance of the most current Terms.


14. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Michigan.


15. Entire Agreement

This document, together with the Client’s active Common Rise account details, constitutes the entire agreement between the Parties and supersedes any prior agreements, written or oral.
